Background:

Hainan Airlines Holding has approved a CNY750 million (USD106.5 million) capital injection into its cargo subsidiary, HNA Cargo, according to a filing with the Shanghai Stock Exchange. The investment will strengthen HNA Cargo’s finances, help restructure debt, and improve operations by using both the cargo space on member airlines and dedicated freighter services.

This plan was approved at an extraordinary general meeting on December 17, 2025. Under the plan, Hainan Airlines will acquire a 16.2% stake in HNA Cargo. Out of the total investment, CNY50.2 million (USD7.1 million) will go to registered capital, and CNY699.8 million (USD99.5 million) will be added to capital reserves.

HNA Cargo was founded in 2010 and is mostly owned by HNA Aviation Group, whose share will fall from 92.4% to 77.4% after the investment. The company also owns 77.9% of Suparna Airlines, a stake transferred from its parent earlier in 2025.

HNA Cargo’s operations rely on the belly space of HNA Aviation Group carriers, including Hainan Airlines, Capital Airlines, and Lucky Air, and work alongside dedicated freighter operators like Suparna Airlines and Tianjin Air Cargo, which operate Boeing narrowbody and widebody freighters.

The airline emphasized that the investment allows it to “grasp future growth opportunities in the air cargo market” using internal funds without affecting daily operations. As of October 2025, HNA Cargo had total assets of CNY11.6 billion (USD1.6 billion) and a net profit of CNY6.4 million (USD910,000) for the first ten months of the year.

Shareholders approved a new board of directors and got rid of the board of supervisors to make the company run more efficiently.
